Terms and Conditions

These Terms govern your access to, usage of all content, Products and Services available at Zou Electrical LLC (the "Service") operated by Zou Electrical LLC ("us", "we", or "our").

Your access to our services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.

Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree to any part of the terms of the Agreement, then you may not access or use our Services.

Description of Service

Zou Electrical LLC provides electrical services, including but not limited to troubleshooting and repairs, panel upgrades, wiring, lighting installation, inspections, and commercial electrical work ("Services"). All services are detailed in a separate Statement of Work (SOW) or client agreement, which outlines specific deliverables, timelines, and fees.

Payment Terms

Fees for Services are due as specified in the client agreement. Services may be billed per project, milestone, or service call as specified in the client agreement. Late payments may result in suspension of services and/or late fees. All fees paid are non-refundable unless otherwise stated in writing.

Client Obligations

The client agrees to provide timely access to necessary resources, including but not limited to property access, panel locations, utility information, and relevant permits or approvals when required. Delays in providing access or approvals may impact project timelines. The client is responsible for the accuracy and legality of all provided information.

Intellectual Property

Upon full payment, the client shall own the specific deliverables created by Zou Electrical LLC as outlined in the SOW. However, Zou Electrical LLC retains ownership of all pre-existing materials, proprietary tools, methods, and documentation used in the provision of services.

Confidentiality

Both parties agree to keep confidential all non-public information obtained during the course of the service agreement. This includes business information, pricing details, property information, and technical project documentation. This obligation extends beyond termination of the agreement.

Termination

Either party may terminate the agreement with 30 days written notice. We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, with or without notice, effective immediately, for reasons including but not limited to a breach of these terms.

Disclaimer of Warranties

Our Services are provided "AS IS." and "AS AVAILABLE". Zou Electrical LLC and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability and fitness for a particular purpose. While we strive to deliver excellent workmanship, we do not guarantee outcomes that are affected by factors beyond our control, including pre-existing system conditions, utility disruptions, weather events, or third-party delays.

Limitation of Liability

In no event will Zou Electrical LLC, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; or (iii) for interruption of use or loss or corruption of data.

Changes

Zou Electrical LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide at least 30 days notice before the changes take effect.
